There are four leading organizations who certify business valuation appraisers.   Each organization provides a web site explaining the respective certification’s requirements and other helpful business valuation information.

Also, learn about USPAP and the Appraisal Foundation at: www.appraisalfoundation.org.   The Board of Trustees of the Appraisal Foundation appoints the Appraisal Standards Board (ASB).   The ASB develops, interprets and amends the Uniform Standards of Professional Appraisal Practice (ASPAP).   USPAP are the generally accepted standards for professional appraisal practice in North America.   USPAP contains standards for all types of appraisal services.   Standards are included for real estate, personal property, business and mass appraisal.

Buy and read: The Lawyer’s Business Valuation Handbook: Understanding Financial Statements, Appraisal Reports, and Expert Testimony, by Shannon P. Pratt.   For purchasing information see: www.abanet.org/abastore.   This book is by far the best and most understandable business valuation reference for lawyers.   If this book does not address a particular business valuation topic, a lawyer is unlikely to need to understand it.

The following is a basic list of questions when interviewing a potential business valuation expert:

• List education, training, and experience
• List prior testifying experience (list of court room and deposition)
• Explain why their credentials are good/better/best
• Ask for all articles/books/speeches published (get copies of everything written) – to prevent surprise on cross-examination
• List prior testifying experience in subject’s business industry (can be extremely helpful but exact experience is not necessary)
• Some potential experts will prepare for the meeting by performing limited research on the industry or subject business (very helpful)
• Determine number of times engaged by opposing counsel
• Determine friendships or possible conflicts with potential witnesses
• Determine expert’s practice about retaining work papers (read about work paper retention policies in Shannon Pratt’s book)
• Engagement fees, costs, and review “standard” engagement agreement
• Hired by client or lawyer?   Who is legally responsible for expert’s fee
